GivePulse Terms of Service

1. Agreement and Acceptance

These Terms of Service (“Terms”) govern your access to and use of GivePulse, Inc.’s (“GivePulse,” “we,” or “our”) website and services (collectively, the “Services”).

By using our Services, you agree to be bound by these Terms. If you’re using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

Eligibility Requirements

  • You must have the legal capacity to form a contract with GivePulse
  • You cannot be barred under applicable laws from using the Services
  • Youth volunteers (13-17): Parent or legal guardian must register accounts and monitor use

Service Modifications

We may stop, suspend, or modify the Services at any time. For material changes affecting nonprofit organizations, educational institutions, or ongoing volunteer programs, we will provide 30 days’ advance notice and migration options when possible.

2. Account Registration and Management

Creating Your Account

To access certain features, you must create a GivePulse Account. You can register:

  • Directly through our website or application
  • Via third-party accounts (Facebook, etc.) with proper authorization

Third-Party Account Integration

When linking third-party accounts, you represent that you’re entitled to:

  • Disclose login information to GivePulse
  • Grant GivePulse access without breaching third-party terms
  • Allow access without obligating GivePulse to pay fees or accept usage limitations

Third-party content becomes available through your GivePulse Account, but if the third-party service becomes unavailable, that content will no longer be accessible.

Account Information Requirements

You must provide truthful and accurate registration information and maintain its accuracy. Your profile may be deleted without warning if you don’t meet eligibility requirements.

3. Fees and Payment

Subscription Plans

GivePulse offers various tiers of Service, including a free Basic plan and multiple paid subscription plans with additional features (“Premium Plans”). The specific features and pricing for each plan are detailed on our pricing page, which is available at https://learn.givepulse.com/pricing. By signing up for a Premium Plan, you agree to pay the subscription fees associated with that plan.

Billing and Payment

All plans are billed in advance on a monthly or annual basis. Payments can be made via credit card, Purchase Order, or Check. You may cancel or downgrade your Premium Plan at any time; however, you will only be charged for the current billing period. Please refer to our refund policy for more details.

Fee Changes

We reserve the right to change the fees for our Services from time to time in our discretion. We will provide you with advance notice of any fee changes at the then-current email address stored in your GivePulse profile. Your continued use of the Services after a fee change constitutes your agreement to pay the modified fee.

Payment Processing for Donations and Ticketing. For organizations using our donation or ticketed event features, standard payment processor fees apply. These fees are separate from our subscription fees.

  • Processor Terms: By using these features, you agree to the terms of our third-party payment processors (e.g., Stripe).
  • Transparency: All applicable payment processor fees will be clearly disclosed before you implement a donation or ticketing campaign.
  • Withdrawal of Funds: To withdraw funds, you must provide accurate bank account information to the payment processor and represent that you are authorized to use the designated account.

4. User Responsibilities and Prohibited Conduct

Prohibited Activities

You must not use the Services to:

  • Violate any local, state, national, or international law
  • Stalk, harass, or harm others
  • Collect or store personal data about other users
  • Impersonate any person or entity
  • Interfere with or disrupt the Services or connected networks

Commercial Use Restrictions

Without our prior written consent, you may not:

  • Reproduce, copy, sell, or exploit any portion of the Services for commercial purposes
  • Enable spam transmission
  • Use automated means to access the Services (robots, spiders, scripts)
  • Link to or frame the Site

Youth Volunteer Requirements

Age Policy: While the Services are not primarily directed to persons under 13, we welcome volunteers of all ages, including children under the age of 13. We strongly encourage volunteers aged thirteen and under to use our Services only with parental consent and active supervision.

Account Registration Requirements:

Children Under 13: Parents or legal guardians must create, manage, and provide consent for all activities on behalf of children under 13.

Youth Ages 13-17: Youth between the ages of 13 and 17 may create their own accounts, but a parent or legal guardian must provide verifiable consent for account creation and is responsible for monitoring their child’s use of the Services.

Data Collection Limitations for Minors:

  • We do not knowingly collect personally identifiable information directly from children under 13 without parental consent
  • If we become aware that a child under 13 has provided personal information without parental consent, we will take steps to delete such information
  • Parents may contact us at support@givepulse.com to review, modify, or delete their child’s information

Requirements for Organizations Creating Youth Opportunities: Organizations creating volunteer opportunities for youth must:

  • Clearly indicate age restrictions and minimum age requirements
  • Require documented parental consent for participation by minors
  • Limit data collection from youth volunteers to essential information only
  • Comply with all applicable laws regarding youth volunteer activities, including COPPA requirements
  • Provide appropriate supervision and safety measures for youth volunteers
  • Maintain appropriate insurance coverage for activities involving minors

Parental Rights:

  • Full access to their child’s volunteer history and account information
  • Right to modify or delete their child’s account and data at any time
  • Direct communication with organizations regarding their child’s volunteer activities
  • Immediate termination rights for their child’s participation in any activity

5. Privacy Policy Integration

All personal information use is governed by our Privacy Policy, incorporated herein by reference.


6. Content Standards and Intellectual Property

Your Content Rights and Responsibilities

You are solely responsible for all content you provide (“Your Content”). You represent and warrant that Your Content doesn’t infringe third-party rights, doesn’t violate any laws, isn’t defamatory, pornographic, or obscene, and doesn’t contain harmful programming routines.

Content Licensing

For nonprofit organizations and educational institutions, our license is limited to displaying content, facilitating volunteer connections, aggregating anonymized data, and promoting opportunities with permission. We won’t create derivative works without explicit permission.

For all other users, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and create derivative works from Your Content.

Educational Institution Rights

Service-learning curricula, reflection materials, and assessment tools remain the exclusive intellectual property of educational institutions. Our license is limited to providing Services only.

Content Standards for Organizations

Volunteer opportunities and organizational profiles must include accurate representation of organization and activities, clear disclosure of requirements or restrictions, transparent information about volunteer effort utilization, accurate impact reporting, and no discriminatory criteria except where legally permitted.


7. Third-Party Relationships and Safety

Volunteer Organization Relationships

Your interactions with nonprofit organizations, volunteers, or other third parties found through our Services are solely between you and them. GivePulse is not responsible for any loss, cost, damage, or liability from such relationships.

Donation Disclaimer

When donating through our platform:

  • Donate at your own risk to entities you trust
  • GivePulse doesn’t warrant how funds will be used
  • We’re not responsible for misuse of funds by beneficiaries

Charitable Solicitation Compliance

Organizations using fundraising features must:

  • Comply with all applicable state charitable solicitation laws
  • Provide accurate tax-exempt status information
  • Respond promptly to donor inquiries about fund usage

Volunteer Safety Requirements

Organizations posting volunteer opportunities must:

  • Clearly disclose potential risks associated with activities
  • Confirm compliance with applicable safety regulations
  • Provide appropriate training and supervision information
  • Maintain appropriate insurance coverage for volunteer activities

8. Account Termination

Termination by You

You may terminate your membership anytime by emailing support@givepulse.com.

Termination by GivePulse

We may terminate accounts for Terms violations, illegal activity, or security threats.

For organizational accounts, we will provide fifteen (15) days’ notice before termination except in cases involving violations, illegal activity, or security threats. Prior to account closure, organizations will be allowed to export their data, and we will provide specific reasons for the termination when applicable. An appeal process is available for organizations that wish to challenge termination decisions.

Individual accounts may be terminated immediately for Terms violations.


9. Disclaimers and Limitations

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” We expressly disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that the Services will:

  • Meet your requirements
  • Be uninterrupted, timely, secure, or error-free
  • Provide accurate or reliable information
  • Have defects corrected

Limitation of Liability

You understand that to the extent permitted under applicable law, in no event will GivePulse or its officers, employees, directors, parents, subsidiaries, affiliates, agents or licensors be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of revenues, profits, goodwill, use, data or other intangible losses (even if such parties were advised of, knew of or should have known of the possibility of such damages, and notwithstanding the failure of essential purpose of any limited remedy), arising out of or related to your use of the site or the services, regardless of whether such damages are based on contract, tort (including negligence and strict liability), warranty, statute or otherwise.

If you are dissatisfied with any portion of this site, your sole and exclusive remedy is to discontinue use of the site. The aggregate liability of GivePulse to you for all claims arising from or related to the site or the services is limited to one-hundred dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law.

Release of Claims

You agree to release GivePulse from claims related to: interactions with other users; participation in offline events or activities arising from Service use; volunteer activities, safety incidents, or injuries occurring during events or opportunities found through our platform; actions, inactions, policies, or decisions of nonprofit organizations, educational institutions, or other third parties you connect with through the Services; donation and fundraising activities, including how donated funds are used, managed, or distributed by recipient organizations; inaccuracies in volunteer hours tracking, impact data, organizational information, or other content provided by users or organizations; and third-party content, services, or integrations accessed through our platform.


10. Legal Terms

Indemnification

You agree to indemnify, defend and hold harmless GivePulse, its parents, subsidiaries, affiliates, officers, directors, co-branders and other partners (including third-party partners to whom GivePulse may provide Your Content), employees, consultants and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that GivePulse or Third Parties may incur as a result of or arising from:

  • Your Content and any information you (or anyone accessing the Services using your password) submit, post or transmit through the Services;
  • Your (or access to the Services as you) violation of these Terms or applicable law;
  • Your (or anyone using your account’s) violation of any rights of any other person or entity;
  • Any information or content we collect from third parties through the Site or Service at your request; or
  • Any viruses, trojan horses, worms, time bombs, cancelbots, spyware or other similar harmful or deleterious programming routines input by you into the Services.

Governing Law and Jurisdiction

These Terms are governed by Texas state law without regard to conflict of laws provisions. Any permitted lawsuits must be filed in state or federal courts in Travis County, Texas.

Dispute Resolution; Arbitration

Binding arbitration is required for disputes exceeding $1,000, conducted individually (not as class action) through the American Arbitration Association in Austin, Texas, under the Consumer Arbitration Rules for individual users and Commercial Arbitration Rules for organizational accounts. You expressly waive your right to participate in class actions, class arbitrations, or representative actions. Each party shall be responsible for their own arbitration costs and fees, including AAA filing fees, administrative fees, and arbitrator compensation. The arbitrator may award reasonable attorney’s fees to the prevailing party if permitted under applicable law. 

Exceptions allowing court proceedings: emergency injunctive relief for intellectual property violations, data breaches, account security threats, or matters requiring immediate action to prevent irreparable harm; small claims court for disputes under $1,000 if within jurisdictional limits; and situations where arbitration is legally unenforceable.

Before arbitration: Contact support@givepulse.com with a detailed written dispute description including the specific issue, desired resolution, and supporting documentation. We will work in good faith to resolve the matter. If unresolved within 60 days of our receipt of your complete dispute notice, either party may initiate arbitration or, for qualifying disputes, small claims court proceedings.

Force Majeure

GivePulse shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, civil emergency, epidemic, terrorism, war, governmental action, labor dispute, or other cause beyond GivePulse’s reasonable control, provided that GivePulse uses commercially reasonable efforts to avoid and remove such causes of non-performance and continues performance under these Terms with reasonable dispatch whenever such causes are removed.

You acknowledge that volunteer events, community activities, and civic engagement programs may be subject to cancellation or modification due to force majeure events, and GivePulse shall have no liability for such disruptions to volunteer opportunities or community programming.


11. Additional Provisions

Beta Features

Beta, pilot, or pre-release features are:

  • Voluntary and may have additional terms
  • Provided ”as is” and may contain bugs or cause data loss
  • Subject to discontinuation without notice
  • Not subject to same privacy/security measures as general features

Electronic Communications

You consent to receive communications electronically and agree that electronic communications satisfy legal writing requirements. Your electronic acceptance constitutes your binding electronic signature.

Export Control

You represent that you are not located in embargoed countries or listed on U.S. Government prohibited parties lists and agree to comply with export control laws.

Assignment

You cannot assign these Terms without our written consent (including email consent). We may assign these Terms without your consent but will provide reasonable advance notice of any such assignment.

Survival

These sections survive termination: Your Responsibilities, Your Content provisions, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Release, Indemnification, Governing Law and Jurisdiction, and other sections that by nature should survive.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed from these Terms and the remaining provisions shall remain in full force and effect. In the event that any such provision is held to be invalid, illegal, or unenforceable, the parties agree that the court making such determination shall have the power to modify the invalid, illegal, or unenforceable provision to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision to the greatest extent possible.
